Also known as a Confidentiality Agreement, this is a legal contract between two parties that outlines confidential business information, material and knowledge to be shared between the parties for purposes of allowing potential buyers and/or investors to evaluate a business opportunity. The parties agree not to disclose information covered by the agreement. This enables information to be openly shared and discussed while protecting the interests of the seller. Non-Disclosure Agreements are commonly used in the M&A industry.
